These Terms of Service ("Terms" or "Agreement") constitute a legal agreement between you and GREESPI INTERNATIONAL LIMITED ("GREESPI," "we," "us," or "our"), a company registered in England and Wales under company number 16175228, with its registered office at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom. GREESPI owns and operates the website located at https://greespi.com (the "Website") and sells the products offered through it.

1. IMPORTANT NOTICES
By accessing, browsing or using the Website, or by placing an order through it, you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy, available at https://greespi.com/policy. If you do not agree to these Terms, please do not use the Website.
We may modify these Terms at any time. The revised version takes effect when it is posted on this page, and the "Last updated" date above will change accordingly. Your continued use of the Website after a change is posted constitutes your acceptance of the revised Terms. Where we make a material change to our Privacy Policy, we will notify registered users by email.
These Terms do not affect any statutory rights you have as a consumer that cannot be excluded or limited by agreement.
2. ABOUT YOU
To place an order through the Website you must be at least 21 years of age, be capable of entering into a legally binding contract, and hold a valid payment card that you are authorised to use.
By placing an order you confirm that all information you provide is accurate, current and complete, and that you are the person named on the payment card used or have that person's express permission to use it.
3. PLACING AN ORDER
When you submit an order through the Website you are making an offer to purchase the products in your basket. Your order is accepted only when we send you an order confirmation. At the point you submit your order, your payment card is authorised for the order total.
You may cancel an order only within the short window stated in your order confirmation and before the order has entered fulfilment. Because our products are frozen and are prepared for dispatch shortly after ordering, cancellation is not possible once fulfilment has begun.
We reserve the right to refuse or cancel any order, in whole or in part, including where the product is out of stock, where we cannot deliver to the address given, where we suspect fraudulent or abusive use of the Website, or where a pricing or product description error has occurred. If we cancel an order that you have already paid for, we will refund the amount charged in full.
All prices are shown on the Website in the currency indicated at checkout and are exclusive of any delivery charges and applicable taxes or duties, which are shown separately before you confirm your order.
4. SHIPPING POLICY
Most orders are dispatched within one to two business days, depending on the time your order is placed and on the fulfilment schedule for your delivery area.
Delivery estimates shown at checkout are estimates only and are not guaranteed. Delivery times may be affected by carrier and postal delays, weather conditions, and other circumstances outside our reasonable control. We are not liable for delays caused by such circumstances, but we will keep you informed and will work with the carrier to resolve them.
Risk in the products passes to you on delivery to the address you provided.
5. RESPONSIBILITY AFTER DELIVERY
Our products are frozen and are shipped in temperature-protective packaging designed to maintain their condition for a limited period after delivery.
You must collect your order and transfer the products to a freezer within 24 hours of delivery. We cannot guarantee product quality, safety or condition where the order has been left uncollected beyond that period, and we are not liable for deterioration resulting from a delay in collection or from storage conditions after delivery.
If you will not be able to receive your order on the scheduled delivery date, please contact us at care@greespi.com in advance so that we can arrange an alternative.
6. RETURNS AND REFUNDS
Because our products are frozen, perishable foodstuffs, they cannot be returned once delivered, and the statutory right of cancellation for distance contracts does not apply to goods that are liable to deteriorate or expire rapidly.
If your order arrives damaged, unsealed, or in an unfrozen condition, contact us at care@greespi.com within 24 hours of delivery and include video or photographic evidence showing the packaging and the condition of the products on arrival. Where the evidence shows that the products were not delivered in satisfactory condition, we will refund or replace the affected items.
We are not liable for damage, spoilage or loss caused after delivery by improper handling or storage, or by a failure to collect the order within the period set out in section 5.
Nothing in this section limits your statutory rights in respect of products that are faulty, not as described, or not of satisfactory quality.
7. PROMO CODES
Promotional codes are subject to the specific terms stated when the code is issued, including any minimum order value, eligible products, usage limit and expiry date. Unless expressly stated otherwise, promotional codes cannot be combined with other offers and have no cash value.
Where a code is issued to you personally, it is for your use only and must be kept confidential. We may suspend or close an account, and cancel any affected orders, where a code is shared, resold, or used in a manner we reasonably consider abusive.
8. HEALTH INFORMATION DISCLAIMER
The content on the Website, including any information about ingredients, nutrition, the gut microbiome or general wellbeing, is provided for general informational purposes only. It is not medical advice, and it is not intended to diagnose, treat, cure or prevent any disease or medical condition.
You should consult a qualified healthcare professional before making changes to your diet, particularly if you are pregnant or breastfeeding, are taking medication, or have an existing medical condition, allergy or intolerance.
Product ingredient and allergen information is shown on the Website and on the product packaging. Please check it before consuming any product. We are not liable for any decision you take, or for any outcome, based on information published on the Website.
9. FOOD SAFETY NOTICE
On receiving your order, check that the packaging is intact and sealed and that the products are frozen.
Do not consume any product where the packaging is damaged or open, where the product has thawed in transit, or where the product shows any sign of spoilage, including discolouration or an unusual odour. Dispose of the product and contact us at care@greespi.com.
Store the products frozen, in accordance with the instructions on the packaging, and consume them by the date shown.
10. RESTRICTIONS
You agree not to:
access or attempt to access any part of the Website, any server, or any system or network connected to the Website, without authorisation; interfere with, disrupt or place an unreasonable load on the Website or its infrastructure; introduce any virus, malicious code or other harmful material; probe, scan or test the vulnerability of the Website or breach its security or authentication measures; harvest, scrape or otherwise collect data or content from the Website by automated means; submit false, misleading or fraudulent information, including a false identity or a payment method you are not authorised to use; or create more than one account for yourself, or create an account on behalf of another person without their authority.
We may suspend or terminate your access to the Website and close your account where we reasonably believe you have breached this section.
11. LINKS TO THIRD-PARTY WEBSITES
The Website may contain links to websites operated by third parties. We provide those links for convenience only. We do not control, endorse or accept responsibility for the content, products, privacy practices or availability of any third-party website, and your use of any such website is at your own risk and subject to that website's own terms and privacy policy.
12. INTELLECTUAL PROPERTY
The Website and all content on it — including text, graphics, photographs, video, logos, trade marks, product names, page layout, design and software — are owned by GREESPI INTERNATIONAL LIMITED or licensed to us, and are protected by copyright, trade mark and other intellectual property laws.
We grant you a limited, personal, non-exclusive, non-transferable and revocable licence to access and use the Website and its content for your own personal, non-commercial purposes. That licence does not permit you to copy, reproduce, republish, distribute, sell, modify or create derivative works from the Website or its content, to use it for any commercial purpose, or to remove or circumvent any copyright notice or technical protection measure.
"GREESPI" and the Greespi logo are trade marks of GREESPI INTERNATIONAL LIMITED. They may not be used without our prior written consent.
13. SMS AND TEXT MESSAGES
Where you have opted in to receive SMS text messages from Greespi, we may send you messages relating to your account and your orders, including one-time passwords and verification codes, order and delivery notifications, account notifications, and responses to customer care enquiries.
Opting in to SMS is optional and is never a condition of purchase. Message frequency varies according to your account activity. Message and data rates may apply, depending on your mobile carrier and plan.
You can opt out at any time by replying STOP to any message from us, and you can request assistance by replying HELP or by contacting us at care@greespi.com. After you reply STOP we will send one confirmation message and will not send you further messages, other than any message required to confirm your opt-out.
No mobile information — including your phone number and your SMS/text messaging opt-in or consent — will be shared with or sold to third parties for marketing or promotional purposes. How we handle your information is set out in our Privacy Policy at https://greespi.com/policy.
Carriers are not liable for delayed or undelivered messages.
14. WARRANTY DISCLAIMERS AND LIMITATIONS ON LIABILITY
The Website is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we make no warranty that the Website will be uninterrupted, timely, secure or error-free, or that any content on it is accurate, complete or current.
To the fullest extent permitted by law, our total aggregate liability to you arising out of or in connection with these Terms, the Website, or any product purchased through it is limited to the total amount you paid to us in the twelve months preceding the event giving rise to the claim.
We are not liable for indirect or consequential loss, or for loss of profit, revenue, business, goodwill or data.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, for any liability that cannot lawfully be excluded or limited, or for your statutory rights as a consumer.
15. INDEMNIFICATION
You agree to indemnify and hold harmless GREESPI INTERNATIONAL LIMITED, its directors, officers, employees and agents from and against any claim, demand, loss, liability, cost or expense (including reasonable legal fees) arising out of or in connection with your use of the Website, your breach of these Terms, or your infringement of the rights of any third party.
16. GENERAL PROVISIONS
Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and us in relation to your use of the Website, and supersede any prior agreement or understanding on that subject.
Governing law and jurisdiction. This Agreement shall be governed by and construed in accordance with the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction over any dispute arising out of or in connection with it. If you are a consumer resident outside England and Wales, this does not deprive you of the protection of any mandatory provision of the law of your country of residence.
Notices. We will send notices to the email address associated with your account or order. You may send notices to us at care@greespi.com or to our registered office address below.
Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer ours, including in connection with a reorganisation or a sale of our business, without affecting your rights.
No partnership or agency. Nothing in these Terms creates a partnership, joint venture, employment or agency relationship between you and us.
Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary, or severed, and the remaining provisions shall continue in full force and effect.
No waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to enforce it later.
